Governance Update for the 2026 Annual General Meeting

Triathlon BC is proposing a number of amendments to its Constitution & Bylaws for consideration at the 2026 Annual General Meeting on October 18.

The proposed changes are intended to modernize the organization’s governance framework, improve clarity in the bylaws, and ensure Triathlon BC continues to operate in accordance with contemporary best practices for provincial sport organizations.

While a number of the proposed amendments involve minor wording and administrative updates, the most significant change is a proposed move from two-year to three-year terms for elected Directors.

Three-Year Board Terms

Under the current bylaws, Directors are elected to two-year terms. The proposed amendments would establish three-year terms for Directors, with a maximum of three consecutive terms, or nine consecutive years.

Importantly, the new structure would introduce staggered elections, with approximately one-third of Director positions becoming eligible for election each year.

This approach is intended to provide greater continuity and stability for the Board while maintaining regular opportunities for members to elect new Directors and bring new perspectives to the organization.

Longer, staggered Board terms can also provide Directors with more time to develop a thorough understanding of the organization and contribute to various initiatives.

The proposed transition schedule found in the appendix has been designed to move Triathlon BC toward three equal cohorts of Directors, with the staggered cycle fully implemented within 3 years, by 2029.

Modernizing the Role of Officers

The proposed bylaws would also change how the Officers of Triathlon BC, the Board Chair, Treasurer and Secretary, are selected.

Rather than having these positions separately elected by the membership, all Directors would be elected by the membership, and the newly constituted Board would then appoint the Chair, Treasurer and Secretary from among its elected Directors.

This is intended to strengthen the Board’s ability to establish an effective leadership team following each election, while ensuring the Officers remain accountable to the Board as a whole.

The proposed bylaws also continue the requirement that a person appointed as Chair must have previously served as a Director for at least one year.

Other Governance Updates

Other proposed amendments include:

  • Updating definitions and terminology to improve clarity and reflect current organizational language.
  • Clarifying that voting members elect Directors, rather than separately electing Officers.
  • Clarifying the process for filling vacant Director positions.
  • Clarifying the election process, including a specific procedure for resolving tied votes between candidates.
  • Removing references to Officers being directly elected where those provisions are no longer applicable.
  • Making various minor wording and administrative changes throughout the bylaws.

Alignment with Sport Governance Best Practices

The proposed amendments are also part of Triathlon BC’s ongoing commitment to strong organizational governance.

Triathlon BC is acting on recommendations associated with viaSport BC’s Operational Enhancement Initiative (OEI) and its focus on maintaining and strengthening governance practices within the provincial sport system.

The proposed changes are intended to ensure that Triathlon BC’s governance structure continues to evolve with the organization and reflects contemporary approaches to Board stability, succession planning, accountability and effective decision-making.

What This Means for Members

For members, the most visible change will be the move to three-year staggered Director terms.

The change is not intended to reduce member involvement in the governance of Triathlon BC. Rather, it is designed to create a more stable Board structure while preserving regular elections and opportunities for members to shape the future leadership of the organization.

The proposed amendments will be presented to members for consideration and requires the approval of at least 75% of the voting members as specified under the Society’s bylaws.  Triathlon BC members are encouraged to review the proposed Constitution & Bylaws in advance of the Annual General Meeting.
